AB \u201cLinas\u201d General Meeting of Shareholders didn\u2019t take place. Repeated General Meeting of Shareholders will be held on May 16, 2019.<\/strong><\/p>\n\n\n\n

AB \u201cLinas\u201d General Meeting of Shareholders didn\u2019t take place\non April 30, 2019 because there was no quorum.<\/p>\n\n\n\n

Repeated General Meeting of Shareholders of AB \u201cLinas\u201d\n(company code 147689083, address S. Kerbedzio str. 23, Panevezys) will be held\non May 16, 2019 acc.to the decision and initiative of the Board.<\/p>\n\n\n\n

Date of the meeting \u2013 May 16, 2019, Thursday.<\/p>\n\n\n\n

Time of the meeting \u2013 13:00 a.m. Registration of participants\nfrom 12:00 a.m. till 12:45 a.m.<\/p>\n\n\n\n

Place of the meeting \u2013 AB \u201cLinas\u201d premises, S. Kerbedzio str.\n23, Panevezys.<\/p>\n\n\n\n

Agenda\nof the meeting:<\/p>\n\n\n\n

  1. The conclusion of the auditor\nabout consolidated and Company\u2019s annual financial reports set of year 2018 and\nannual report.<\/li>
  2. Confirmation of consolidated and\nCompany\u2019s annual financial reports set of year 2018 and presentation of\nconsolidated annual report.<\/li>
  3. Company\u2019s allotment of profit\n(loss).<\/li>
  4. Purchase\nof the Company\u2019s own shares.<\/li>
  5. Election of the member of Audit\nCommittee and approval of the salary of the members of the Audit Committee.<\/em><\/em><\/li><\/ol>\n\n\n\n

    The accounting date of Repeated\nGeneral Meeting of Shareholders is May 09, 2019. In the Repeated General\nMeeting of Shareholders have the right to participate and vote persons who were\ncompany\u2019s shareholders at the end of accounting date (May 09, 2019), personally\nor their authorized persons, or persons with whom voting right transferring\ncontract is signed.<\/p>\n\n\n\n

    The Company doesn\u2019t form the right\nto participate and to vote in the meeting with the help of electronic\ncommunication equipment.<\/p>\n\n\n\n

    Decision projects on the agenda,\ndocuments which will be presented for General meeting of Shareholders will be\nannounced in company\u2019s web page http:\/\/www.linas.lt. Company\u2019s shareholders\nhave the right to acquaint with this information on working days from 9:00 a.m\ntill 16:00 a.m. at company\u2019s premises S. Kerbedzio str.23, Panevezys.<\/p>\n\n\n\n

    Shareholders the shares of whom\nprovide not less than 1\/20 of all votes, can offer new decision projects for\nthe questions which are included or will be included into the agenda of the\nmeeting. Offers can be presented in written form or by e-mail. The offers in\nwritten form can be taken till May 16, 2019, 10:00 a.m. (on working days) to\nthe company\u2019s premises or sent by registered letter to address S. Kerbedzio\nstr.23, LT-35114, Panevezys. Offers by e-mail are sent to address\noffice@linas.lt . During the meeting there will be discussed only offers\nreceived in the company till May 16, 2019, 10:00 a.m.<\/p>\n\n\n\n

    Shareholders have the right to\nprovide questions in relation with agenda of the meeting in advance.\nShareholders can provide questions by e-mail office@linas.lt not later than 3\nworking days till the meeting. The company will present answers by e-mail till\nthe meeting. The company has the right not to give answers to shareholder\u2019s\nquestions if they are in relation with company\u2019s commercial (production) or\nconfidential information.<\/p>\n\n\n\n

    All the persons who are\nparticipating in General Meeting of Shareholders and have the right o vote have\nto present the document certifying person identification. Representative of the\nshareholder for the meeting has to present the original of authorization acc.to\nlaw indicated form and content. The company doesn\u2019t indicate special form of\nauthorization. The shareholder has the right with the help of electronic\ncommunication equipment to authorize other natural or legal person to\nparticipate and to vote in the meeting in the name of shareholder. The\nshareholder has to inform the company about the issued authorization by e-mail\noffice@linas.lt not later than till the last working day 16:00 p.m. to the\nmeeting. In the report the shareholder has to indicate web page from which the\nshareholder\u2019s electronic signature checking program could be sent for free.<\/p>\n\n\n\n

    It would be able to vote on the\nRepeated General Meeting of Shareholders questions completing the general\nvoting bulletin in written in advance. Printed general voting bulletin is\navailable at company\u2019s premises, address S. Kerbedzio str.23, Panevezys. If the\nshareholder requires, then the company is sending general voting bulletin by\nregistered letter or handle with written confirmation not later than 10 days\ntill the meeting. Shareholder or his authorized person has to sign general\nvoting bulletin. If the general voting bulletin is signed by the\nrepresentative, then the document confirming his right for voting has to be\nadded to the bulletin. Properly completed voting bulletins with the attached\ndocuments should be presented to the company personally, through authorized\nperson or by registered letter to the address S. Kerbedzio str.23, LT-35114,\nPanevezys, not later than the last working day to up to the meeting.<\/p>\n\n\n\n
