Draft Resolutions suggested by the Board of AB \u201cLinas\u201d for the Annual General Meeting of Shareholders to be held on 30 April 2021:<\/p>\n

  1. Audit conclusion regarding the consolidated and Company\u2019s Annual Financial Accountability and Annual Report of year 2020.<\/em><\/strong><\/li>\n<\/ol>\n

    Project of resolution: to pay attention to the auditor\u2019s conclusions confirming AB \u201cLinas\u201d consolidated and Company\u2019s financial accountability of year 2020 and to agree to the consolidated annual report of the company of year 2020.<\/p>\n

    1. Confirmation of consolidated and company\u2019s annual financial accountability of year 2020 and presentation of consolidated annual report. <\/em><\/strong><\/li>\n<\/ol>\n

      Project of resolution: to confirm AB \u201cLinas\u201d consolidated and company\u2019s annual financial statements for the year 2020 and to agree to consolidated annual report for the year 2020.<\/p>\n

      1. Company\u2019s profit (loss) allocation of year 2020. <\/em><\/strong><\/li>\n<\/ol>\n

        Project of resolution: to confirm AB \u201cLinas\u201d profit (loss) allocation:<\/p>\n

        1) retained profit of the previous financial year at the end of the accounting year \u2013 712,912 \u00a0EUR<\/u>;<\/p>\n

        2) net profit of the accounting year\u00a0 784,498 \u00a0EUR<\/u>;<\/p>\n

        3) profit (loss) of the accounting financial year unrecognized in the statement of comprehensive income – 0 EUR<\/u>;<\/p>\n

        4) transfers from mandatory reserve\u00a0 0 EUR<\/u>;<\/p>\n

        5) transfers from reserve for business projects 0 EUR<\/u>;<\/p>\n

        6) transfers from reserve for the support 0 EUR<\/u>;<\/p>\n

        7) transfers from profit for dividend paying \u00a00 EUR<\/u>;<\/p>\n

        8) shareholders contributions to cover company\u2019s loses 0 EUR<\/u>;<\/p>\n

        9) allocated loss totally 1,497,410 \u00a0EUR<\/u>;<\/p>\n

        10) share of profit set for the mandatory reserve 39,225 <\/u>EUR<\/u>;<\/p>\n

        11) share of profit set for the reserve for purchase of own shares\u00a0 0 EUR<\/u>;<\/p>\n

        12) share of profit set to other reserves 0 EUR<\/u>;<\/p>\n

        13) share of profit set for dividend paying\u00a0 0 EUR<\/u>;<\/p>\n

            For the subsequent 4 year term of office at the Supervisory Board the following persons shall be re-elected: Ar\u016bnas Ketrys deputy director of UAB \u201eAlba\u201c (independent member), Virginijus Kundrotas director of UAB \u201eIntegralios lyderyst\u0117s iniciatyvos\u201c and Head of Baltic Management Development Association\u00a0 (independent member) ir Darius Kazlauskas commercial director of UAB \u201eParnidis\u201c (independent member)<\/p>\n

            1. Approval of the new version of the Regulations of the Audit Committee.<\/em><\/strong><\/li>\n<\/ol>\n

                1. Approval of the Company’s remuneration report for 2020<\/em><\/strong><\/li>\n<\/ol>\n

                  Project of resolution: For the subsequent 4 year term of office at the Audit Committee the following persons shall be elected: Ana Sirien\u0117 certified Internal Auditor and MB ELSAN owner (independent member), Lina Belickien\u0117 Senior accountant of Paneve\u017eio miesto greitosios medicinos pagalbos stotis UAB (independent member) and Lina Liesyt\u0117 Senior accountant of Company.<\/p>\n
